Marketing performance depends on multiple external factors outside our control, including platform algorithm changes, market conditions, and client implementation.
3. Client Responsibilities
To ensure successful service delivery, clients agree to:
- Provide accurate and timely information
- Grant necessary access (e.g., website, analytics, ad accounts)
- Approve deliverables in a timely manner
- Maintain clear communication throughout the engagement
Delays caused by missing information or approvals may impact timelines and results.
4. Payments & Billing
- Fees, payment schedules, and billing terms will be defined in your service agreement or invoice.
- Payments are due as specified and may be required upfront or on a recurring basis.
- Late payments may result in paused services or account suspension.
- All fees are non-refundable unless otherwise stated in writing.
5. Cancellations & Termination
Either party may cancel services with written notice, subject to the terms of the agreement.
- Monthly retainers typically require a 30-day notice for cancellation.
- Any work completed prior to cancellation must be paid in full.
- We reserve the right to terminate services if clients violate these Terms or engage in abusive or unlawful behavior.
6. Intellectual Property
- All materials created by WellNis Agency (content, strategies, designs, reports) remain our intellectual property until full payment is received.
- Upon full payment, ownership of final deliverables may transfer to the client unless otherwise specified.
- We retain the right to use non-confidential work in portfolios, case studies, or marketing materials unless explicitly restricted in writing.
7. Third-Party Platforms
Our services may rely on third-party platforms such as:
- Google Ads
- Meta (Facebook/Instagram)
- WordPress
- Analytics tools
We are not responsible for changes, outages, suspensions, or performance issues caused by these platforms.
8. Limitation of Liability
To the fullest extent permitted by law, WellNis Agency is not liable for:
- Indirect or consequential damages
- Loss of revenue, profits, or data
- Business interruptions
- Platform policy changes or account suspensions
Our total liability for any claim shall not exceed the amount paid by the client for services in the preceding 30 days.
9. Confidentiality
We respect client confidentiality and will not disclose proprietary or sensitive business information to third parties, except when required by law or with client permission.
